By responding [with #LingoShare][in writing with the message "I accept"] to the communication from Lingo Sensing Technology Unlimited Company ("Lingo Sensing Technology") sharing this Social Media Authorization and License (the "Authorization") with me, I hereby agree to be bound by this Authorization, and I hereby authorize and license Lingo Sensing Technology to use, reproduce, publicly perform, store, display, create derivative works of, commercialize, incorporate into other works, distribute, and copy my social media post referenced in the communication to me from Lingo Sensing Technology, including any messages, photos, videos, content, comments, links, profiles or other related information that I have posted or shared in connection therewith (collectively, my "Content"). in whole or in part and in any format or medium currently known or developed in the future.

I understand that Lingo Sensing Technology will not pay me for Content, and that this authorization and license is worldwide, perpetual, royalty-free and irrevocable. I understand that Lingo Sensing Technology may freely assign, transfer, or sublicense rights in my Content.

By agreeing to this Authorization, I represent and warrant

(i) that I am 18 years or older,

(ii) that I have all rights necessary in and to my Content, including

(a) with regard to any third parties and minors (including, without limitation, to their names, social media handles, images, likeness) who are depicted or referenced in my Content. and
(b) all rights necessary to provide the authorization and license hereunder, including all rights for Lingo Sensing Technology to exercise the authorization and license rights hereunder,

(iii) that my Content is truthful, accurate, not misleading, and

(iv) that I have and am willing to provide, if requested by Lingo Sensing Technology, evidence that the experiences detailed in my Content actually occurred.

By agreeing to this Authorization, I hereby irrevocably and unconditionally waive, and forever release, hold harmless, and discharge Lingo Sensing Technology, and its affiliates, parents, subsidiaries, and each of their respective employees, officers, directors, agents, representatives and assignees, from liability for, any and all claims, demands and causes of action which I, my heirs, representatives, executors, administrators and/or other persons acting on my behalf or on behalf of my estate have or may have by reason of this authorization and license, or arising directly or indirectly from the use of my Content. This Authorization and any dispute or claim arising out of or in connection with this Authorization will be governed and construed by the substantive laws of the State of Illinois, United States, without regard to any conflicts of law provisions.
